1. Acceptance of Terms
By accessing and using ToteTracker ("the Service"), you accept and agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use the Service.
2. Description of Service
ToteTracker is a home inventory management application that allows you to catalog, organize, and track your belongings using hierarchical containers and AI-powered image analysis. The Service includes:
- Inventory item management
- Hierarchical container organization
- AI-powered image analysis for automatic item cataloging
- Cloud synchronization across devices
- Search and filtering capabilities
- Shared inventories that let you invite other people to view and manage the same items and containers
3. Account Registration
3.1 Eligibility
You must be at least 13 years of age to use ToteTracker. By creating an account, you represent and warrant that you are 13 years of age or older. If you are under 13, you may not use this Service.
3.2 Account Creation
To use ToteTracker, you must create an account by providing:
- A valid email address
- A secure password, or authentication through Google OAuth
3.3 Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.
4. Subscription and Payment
4.1 Free Trial
New users are offered a 7-day free trial that does not require a credit card. To start the trial, you must create an account with a verified email address (or sign in with a supported single sign-on provider). When the trial ends, you must choose a paid subscription to continue using the Service. Because no payment method is collected up front, you will not be charged automatically.
4.2 Subscription
After the free trial, ToteTracker offers multiple subscription options starting at $7/month. Subscriptions automatically renew based on your chosen billing cycle until canceled. Subscriptions are per person: each individual who uses the Service, including every member of a shared inventory, must have their own active subscription or free trial. Sharing an inventory does not extend your subscription to anyone else.
4.3 Payment Processing
Payments are processed securely through our third-party payment processor. By subscribing, you authorize us to charge your payment method on a recurring basis. You are responsible for providing accurate payment information and keeping it up to date. See our Privacy Policy for details on payment processing.
4.4 Cancellation
You may cancel your subscription at any time through the billing portal accessible from your account settings. Cancellation takes effect at the end of your current billing period. No refunds are provided for partial months.
4.5 Price Changes
We reserve the right to change our pricing. We will provide at least 30 days notice of any price increases. Continued use of the Service after a price change constitutes acceptance of the new pricing.
4.6 Smart Actions
All subscription plans include 100 Smart Actions per month. Smart Actions power AI-powered features including image analysis and chat assistance. Smart Actions are tied to your own account: when you use an AI feature within a shared inventory, the actions are deducted from your balance, not from the inventory owner's.
Rollover Policy:
- Up to 100 monthly Smart Actions roll over to the next billing cycle
- Purchased action packs roll over indefinitely and never expire
- Monthly actions are consumed before purchased actions
Action consumption rates:
- Single-item image analysis: 1 action
- Multi-item scan: 1 action plus 1 per item detected
- Iris chat: billed on each reply's actual usage, not a flat rate
- Barcode Lookup: 2 actions
- Voice transcription: No action charge
We reserve the right to modify action consumption rates with 30 days notice. AI features may be unavailable when actions are exhausted until the next billing cycle or additional actions are purchased.
5. Acceptable Use
You agree not to:
- Use the Service for any illegal purpose or in violation of any laws
- Upload malicious code, viruses, or harmful content
- Attempt to gain unauthorized access to the Service or other users' accounts
- Reverse engineer, decompile, or disassemble any part of the Service
- Use automated means to access the Service without permission
- Interfere with or disrupt the Service or servers
- Share your account credentials with others
- Upload inappropriate, offensive, or illegal content
- Violate the intellectual property rights of others
6. User Content
6.1 Your Data
You retain ownership of all content you upload to ToteTracker, including item descriptions, images, and organizational structures. You grant us a limited license to store, process, and display your content solely to provide the Service.
When you add content to a shared inventory, that content becomes part of that inventory and is visible to and editable by all of its members. If you leave or are removed from a shared inventory you do not own, the content you contributed remains in that inventory. If you delete your account, your contributions to inventories you do not own are reassigned to each inventory's owner rather than deleted, so the other members' records stay intact. If you own a shared inventory, you may transfer it to another member; when you delete your account you may first need to transfer or delete the inventories you own, and any inventory that is deleted is removed in full for all of its members.
6.2 Content Responsibility
You are solely responsible for the content you upload. You represent that you have the necessary rights to upload and use any content in the Service, including photos and descriptions.
6.3 Content Removal
We reserve the right to remove content that violates these terms or is otherwise objectionable, though we are not obligated to monitor user content.
7. Intellectual Property
The ToteTracker application, including its design, code, features, and branding, is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our express permission.
8. AI Image Analysis
ToteTracker uses third-party AI services to analyze photos and suggest item information. Please note:
- AI-generated suggestions may not always be accurate
- You should review and verify all AI-generated information
- We are not responsible for inaccuracies in AI-generated content
- Images sent for analysis are subject to our AI provider's privacy policy (see our Privacy Policy for details)
9. Third-Party Services
ToteTracker relies on third-party service providers for hosting, database storage, payment processing, and AI-powered features. 10. Data Backup and Loss
While we implement robust backup systems, you are responsible for maintaining your own backups of important data. We are not liable for any data loss, though we will make reasonable efforts to prevent it.
11. Service Availability
We strive to maintain high availability but do not guarantee uninterrupted access to the Service. We may suspend or terminate the Service for maintenance, updates, or other reasons, with or without notice.
12. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM:
- Your use or inability to use the Service
- Unauthorized access to or alteration of your data
- Any conduct or content of third parties on the Service
- Any content obtained from the Service
OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM.
14. Indemnification
You agree to indemnify and hold harmless ToteTracker and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Service or violation of these Terms.
15. Termination
We reserve the right to suspend or terminate your account at any time, with or without cause, with or without notice. Upon termination, your right to use the Service will immediately cease. You may delete your account at any time through the settings page.
16. Changes to Terms
We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms with a new "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the modified Terms.
17. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which we operate, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved in the courts of that jurisdiction.
18. Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
